These Terms & Conditions apply to services supplied by Drovotech unless a signed agreement, accepted quotation or service-specific terms state otherwise. Services may include website and e-commerce development, mobile applications, custom systems, integrations, AI and automation, hosting, domains, business email, Microsoft 365, maintenance and IT support.
A quotation describes the agreed scope, assumptions and charges. Work outside that scope, including new functionality, substantial revisions or changed requirements, may be treated as a change request and quoted separately.
Customers must provide accurate requirements, timely feedback, required content, lawful materials, access credentials where appropriate and decisions reasonably needed to deliver the service. Delays in these items may affect delivery dates.
Charges, taxes, deposits, milestones and payment dates are stated on the applicable quotation, order or invoice. Unless expressly stated otherwise, estimates are not a commitment to perform unlimited additional work for the same charge.
Delivery dates are targets unless expressly agreed as fixed contractual deadlines. Customers are responsible for reviewing deliverables and reporting material issues within any acceptance period stated in the project agreement.
Some Drovotech services rely on third-party platforms such as hosting providers, domain registries, email suppliers, cloud services, Microsoft 365/CSP suppliers, payment processors and software vendors. Relevant third-party licence, acceptable-use, availability and service terms may apply in addition to these terms.
Hosting, domains, email, cloud licences, maintenance and support may renew monthly or annually as specified on the order. Renewal charges can change where supplier costs, licence prices, taxes, exchange rates or customer requirements change. We will communicate material customer-price changes where reasonably practicable.
Services may be suspended for overdue payment, security risk, unlawful use, abuse or material breach, subject to applicable law and contractual commitments. Cancellation and notice requirements are governed by the relevant quotation, subscription or service agreement.
Ownership and licence rights for bespoke deliverables are governed by the applicable project agreement. Pre-existing Drovotech materials, reusable components, third-party software, open-source software and supplier technology remain subject to their respective ownership and licence terms.
Drovotech uses reasonable technical and organisational practices appropriate to the service. No internet-connected system can be guaranteed completely secure or continuously available. Backup, retention, recovery objectives and security responsibilities depend on the purchased service and should not be assumed beyond the written service specification.
Each party should protect confidential information received from the other. Personal information is handled in accordance with applicable data-protection obligations and our Privacy Policy. Additional data-processing terms may be agreed where required.
Any warranties, exclusions and limits of liability are subject to applicable law and any service-specific agreement. Nothing in these terms excludes liability that cannot lawfully be excluded.
On termination, outstanding charges remain payable. Access, data export, transfer assistance and deletion arrangements depend on the service and any applicable supplier or project terms.
Unless otherwise agreed in writing or required by applicable consumer law, these terms are governed by the laws of England and Wales and disputes are subject to the jurisdiction stated in the applicable agreement.
